Terms of Service

These Terms of Service ("Terms") govern your use of the services provided by ClearMark Reputation Inc. ("ClearMark", "we", "us", or "our"). By engaging our services or submitting a quote request, you agree to be bound by these Terms.
1. Description of Services
ClearMark provides online reputation management services to Canadian businesses, including but not limited to: review removal services for Google, Yelp, Glassdoor, Indeed, TripAdvisor, and similar platforms; review monitoring; and assistance with generating authentic positive reviews from your real customers.
2. No Win, No Fee Policy
For our standard per-review removal service, you are only charged for reviews we successfully remove. A removal is considered "successful" when the disputed review is no longer visible to the public on the target platform.
If we are unable to remove the review, you owe us nothing for that specific review. This policy does not apply to monthly subscription plans, monitoring services, or positive review generation services, which are billed on a flat or recurring basis.
3. No Guarantee of Outcome
All decisions regarding the removal of a review are made solely by the host platform(Google, Yelp, Glassdoor, etc.). ClearMark has no direct authority over these platforms and cannot guarantee a specific outcome, timeline, or success rate for any individual case.
We will use commercially reasonable efforts to identify policy violations and build a compelling removal case, but the final decision rests with the platform.
4. Payment Terms
Invoices for successful removals are issued upon confirmation that the review is no longer publicly visible. Payment is due within 14 calendar days of invoice date. All prices are quoted in Canadian dollars (CAD) and are exclusive of applicable taxes (GST/HST) unless otherwise stated.
Monthly subscription plans are billed in advance and may be cancelled at any time, with the cancellation taking effect at the end of the current billing cycle.
5. Refund Policy
No refunds are issued for successful removals. Once a review has been removed from the target platform, the service has been fully rendered.
Monthly subscription fees are non-refundable for the current billing period but may be cancelled to prevent future billing. Any prepaid annual plans may be eligible for a pro-rated refund of unused months, less an administrative fee, at our sole discretion.
6. Client Responsibilities
You agree that:
- All information you provide to us is accurate and truthful
- You have the legal authority to request removal of reviews concerning your business
- You will not engage our services to suppress legitimate criticism or factually accurate reviews
- You will not hold ClearMark liable for any action a platform takes against your business listing as a result of disputes filed on your behalf
7. Limitation of Liability
To the maximum extent permitted by law, ClearMark's total aggregate liability arising out of or relating to these Terms or our services shall not exceed the total fees paid by you to ClearMark in the six (6) months preceding the event giving rise to the claim.
In no event shall ClearMark be liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, profits, goodwill, or business opportunity.
8. Confidentiality
All information shared between you and ClearMark in the course of our engagement is treated as confidential and will not be disclosed to any third party, except as required to perform our services (e.g., when filing a dispute with a review platform) or as required by Canadian law.
9. Termination
Either party may terminate the engagement at any time with written notice. You remain responsible for payment of any successful removals completed prior to termination, and for any subscription fees already billed for the current period.
10. Governing Law
These Terms are governed by and construed in accordance with the laws of the Province of Ontario, Canada and the federal laws of Canada applicable therein. Any disputes shall be resolved in the courts of Ontario.
11. Changes to These Terms
We may update these Terms from time to time. Continued use of our services after a revision constitutes acceptance of the updated Terms.
